Terms of service

1. Agreement
By creating an account or using AgentPay (https://agentpay.run), you agree to these Terms. If you're using the service on behalf of a company, you represent that you have authority to bind that company. If you don't agree, don't use the service.
2. Account and access
- You must be at least 18 to create an account.
- You're responsible for keeping your password and API keys secret.
- Each agent wallet's API key is shown once at issuance. If you lose it, rotate to issue a new one.
- You're responsible for all charges made by agents using keys issued from your account, including charges denied by policy (which still consume rate-limit quota).
3. Acceptable use
You won't use the service to:
- Process charges for goods or services that violate applicable law.
- Circumvent or attempt to extract a customer's API key, hashes, or another tenant's data.
- Send abusive volume designed to test infrastructure rather than reflect real agent behavior. Routine load testing is fine — please email us first if you plan sustained high-volume traffic.
- Reverse-engineer the service to compete with it.
4. Subscriptions and billing
- The Free plan supports a small number of wallets and transactions per month at no charge. The Pro plan is billed monthly through Stripe, Inc..
- Subscriptions auto-renew until canceled. Cancel anytime in Settings → Billing — cancellation takes effect at the end of the current period.
- Refunds are handled case-by-case. Pro-rated refunds are not automatic but are available on request for genuine billing errors.
- Price changes will be announced at least 30 days before they take effect.
5. Data and security
How we handle your data is described in the Privacy Policy. You own your wallet, policy, and transaction data. We act as a processor for that data and won't share it outside the sub-processors listed in the Privacy Policy.
6. Service availability
We aim for high availability but make no uptime SLA on the Free plan. Pro plans include a target of 99.5% monthly uptime; if we miss it, contact us at hello@agentpay.run for credits. Scheduled maintenance is announced when reasonably possible.
7. Suspension and termination
We may suspend or terminate accounts that violate these Terms, that we reasonably believe are compromised, or that are part of fraud or abuse. We'll give notice where possible. You can terminate your account at any time from Settings.
8. Disclaimer
The service is provided as is and as available, without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, AgentPayis not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption arising from your use of the service. Our total aggregate liability for any claim won't exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$100.
Specifically about agent-initiated charges:AgentPay's policy engine is designed to deny charges that violate policy, but we don't guarantee it will detect every fraudulent or unauthorized charge. You're responsible for setting policies that match your risk tolerance and for monitoring the alerts and audit log.
10. Governing law and disputes
These Terms are governed by the laws of Pennsylvania, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in that jurisdiction.
11. Changes
We may update these Terms. Material changes will be announced by email or in the dashboard at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
